AGREEMENT<\/p>\n\n\n\n<p>BETWEEN<\/p>\n\n\n\n<p>THE GOVERNMENT OF THE<\/p>\n\n\n\n<p>STATE OF KUWAIT<\/p>\n\n\n\n<p>AND<\/p>\n\n\n\n<p>THE GOVERNMENT OF THE<\/p>\n\n\n\n<p>REPUBLIC OF SOUTH AFRICA<\/p>\n\n\n\n<p>FOR THE AVOIDANCE OF DOUBLE TAXATION<\/p>\n\n\n\n<p>AND<\/p>\n\n\n\n<p>THE PREVENTION OF FISCAL EVASION<\/p>\n\n\n\n<p>WITH RESPECT TO TAXES ON INCOME<\/p>\n\n\n\n<p>PREAMBLE<\/p>\n\n\n\n<p>The Government of the State of Kuwait and the &nbsp;Government of the Republic of South Africa, desiring to amend the Agreement for the avoidance of double taxation and the prevention of fiscal evasion with respect to taxes on income, signed at Kuwait on 17 February 2004 (in this Protocol referred to as \u201cthe Agreement\u201d);<\/p>\n\n\n\n<p>HAVE AGREED as follows:<\/p>\n\n\n\n<p>ARTICLE 1<\/p>\n\n\n\n<p>Paragraph 3 of Article 2 of the Agreement shall be deleted and replaced by the following:<\/p>\n\n\n\n<p>3 \u2013 The existing taxes to which this Agreement shall apply are, in particular:<\/p>\n\n\n\n<p>a) in the case of Kuwait:<\/p>\n\n\n\n<p>(1) Decree No. 3 of 1955 as amended by Law No. 2 of 2008;<\/p>\n\n\n\n<p>(2) Law No. 23 of 1961 of the Neutral Zone; and<\/p>\n\n\n\n<p>(3) Law No. 19 of 2000 of the Supporting of National Employees;<\/p>\n\n\n\n<p>(hereinafter referred to as \u201cKuwaiti tax\u201d); and<\/p>\n\n\n\n<p>b) in the case of South Africa:<\/p>\n\n\n\n<p>the normal tax;<\/p>\n\n\n\n<p>the withholding tax on royalties;<\/p>\n\n\n\n<p>(3) the dividends tax;<\/p>\n\n\n\n<p>(4) the withholding tax on interest; and<\/p>\n\n\n\n<p>(5) the tax on foreign entertainers and sportspersons;<\/p>\n\n\n\n<p>(hereinafter referred to as \u201cSouth African tax\u201d).\u201d<\/p>\n\n\n\n<p>ARTICLE 2<\/p>\n\n\n\n<p>Subparagraph a) of paragraph 1 of Article 4 of the Agreement shall be deleted and replaced by the following new subparagraph:<\/p>\n\n\n\n<p>\u201ca) in the case of Kuwait:<\/p>\n\n\n\n<p>(1) a Kuwaiti national and a company or an entity which is incorporated in Kuwait, and<\/p>\n\n\n\n<p>(2) an individual who is present in Kuwait for a period or periods totalling in the aggregate at least 183 days in the fiscal year concerned;\u201d<\/p>\n\n\n\n<p>ARTICLE 3<\/p>\n\n\n\n<p>Article 10 of the Agreement shall be deleted and replaced by the following:<\/p>\n\n\n\n<p>\u201cArticle 10<\/p>\n\n\n\n<p>Dividends<\/p>\n\n\n\n<p>1. Dividends paid by a company which is a resident of a Contracting State to a resident of the other Contracting State may be taxed in that other Contracting State.<\/p>\n\n\n\n<p>2 .However, such dividends may also be taxed in the Contracting State of which the company paying the dividends is a resident and according to the laws of that Contracting State, but if the beneficial owner of the dividends is a resident of the other Contracting State, the tax so charged shall not<\/p>\n\n\n\n<p>a) 5 per cent of the gross amount of the dividends if the beneficial owner is a company which holds at least 10 per cent of the capital of the company paying the dividends; or<\/p>\n\n\n\n<p>b) 10 per cent of the gross amount of the dividends in all other cases.<\/p>\n\n\n\n<p>This paragraph shall not affect the taxation of the company in respect of the profits out of which the dividends are paid.<\/p>\n\n\n\n<p>3. Notwithstanding the provisions of paragraph 2, dividends paid by a company which is a resident of a Contracting State to the Government of the other Contracting State shall be exempt from tax in the first-mentioned State.<\/p>\n\n\n\n<p>4. For the purposes of paragraph 3, the term \u201cGovernment\u201d shall include:<\/p>\n\n\n\n<p>a) in the case of Kuwait:<\/p>\n\n\n\n<p>(1) the Central Bank of Kuwait; and<\/p>\n\n\n\n<p>(2) any other statutory body or institution wholly owned by the Government of the State of Kuwait, as may be agreed from time to time between the competent authoritics of the Contracting States,<\/p>\n\n\n\n<p>b) in the case of South Africa:<\/p>\n\n\n\n<p>(1) the South African Reserve Bank; and<\/p>\n\n\n\n<p>(2) any other statutory body or institution wholly owned by the Government of the Republic of South Africa, as may be agreed from time to time between the competent authorities of the Contracting States.<\/p>\n\n\n\n<p>5 .The term \u201cdividends\u201d as used in this Article means income from shares or other rights participating in profits (not being debt-claims), as well as income from other corporate rights which is subjected to the same taxation treatment as income from shares by the laws of the Contracting State of which the company making the distribution is a resident.<\/p>\n\n\n\n<p>6 .The provisions of paragraphs 1 and 2 of this Article shall not apply if the beneficial owner of the dividends, being a resident of a Contracting State, carries on business in the other Contracting State of which the company aying he ividends is a resident, through a permanent establishment therein, or performs in that other Contracting State independent personal services from a fixed base situated therein, and the holding in respect of which the dividends are paid is effectively connected with such permanent establishment or fixed base. In such case the provisions of Article 7 or Article 14, as the case may be, shall apply.<\/p>\n\n\n\n<p>7. Where a company which is a resident of a Contracting State derives profits or income from the other Contracting State, that other Contracting State may not impose any tax on the dividends paid by the company except insofar as such dividends are paid to a resident of that other Contacting State or insofar as the holding in respect of which the dividends are paid is effectively connected with a permanent establishment or fixed base situated in that other Contracting State, nor subject the company\u2019s undistributed profits to a tax on the company\u2019s undistributed profits, even if the dividends paid or the undistributed profits consist wholly or partly of profits or income arising in such other Contracting State.\u201d<\/p>\n\n\n\n<p>ARTICLE 4<\/p>\n\n\n\n<p>Article 11 of the Agreement shall be deleted and replaced by the following:<\/p>\n\n\n\n<p>\u201cArticle 11<\/p>\n\n\n\n<p>Interest<\/p>\n\n\n\n<p>1. Interest arising in a Contracting State and paid to a resident of the other Contracting State may be taxed in that other State.<\/p>\n\n\n\n<p>2.However, such interest may also be taxed in the Contracting State in which it arises and according to the laws of that State, but if the beneficial owner of the interest is a resident of the other Contracting State, the tax so charged shall not exceed 5 per cent of the gross amount of the interest.<\/p>\n\n\n\n<p>3. Notwithstanding the provisions of paragraph 2, interest arising in a Contracting State shall be exempt from tax in that State if:<\/p>\n\n\n\n<p>a) the interest is paid by or derived by the Government or a political subdivision or a local authority of either of that Contracting State;<\/p>\n\n\n\n<p>b) the interest is paid in respect of a loan, debt-claim or credit that is owed to, or made by, provided, guaranteed or insured by that other State or a political subdivision, or local authority or central bank thereof; or<\/p>\n\n\n\n<p>c) the interest is paid by any bank; or<\/p>\n\n\n\n<p>d) the interest is paid to any institution or body which is wholly owned, directly or indirectly, by the other Contracting State or a political subdivision or a local authority thereof; or<\/p>\n\n\n\n<p>e) the interest arises in respect of any debt instrument listed on a recognised stock exchange.<\/p>\n\n\n\n<p>4.For the purposes of subparagraph e) of paragraph 3, the term \u201crecognised stock exchange\u201d means:<\/p>\n\n\n\n<p>a) in Kuwait, the Kuwait Stock Exchange;<\/p>\n\n\n\n<p>b) in South Africa, the Johannesburg Stock Exchange;<\/p>\n\n\n\n<p>c) any other stock exchange agreed upon by the competent authorities of the Contracting States.<\/p>\n\n\n\n<p>5.The term \u201cinterest\u201d as used in this Article means income from debt-claims of every kind, whether or not secured by mortgage and whether or not carrying a right to participate in the debtor\u2019s profits, and in particular, income from government securities and income from bonds or debentures, including premiums and prizes attaching to such securities, bonds or debentures. Penalty charges for late payment shall not be regarded as interest for the purposes of this Article.<\/p>\n\n\n\n<p>6.The provisions of paragraphs 1, 2 and 3 of this Article shall not apply if the beneficial owner of the interest, being a resident of a Contracting State, carries on business in the other Contracting State in which the interest arises, through a permanent establishment situated therein or performs in that other Contracting State independent personal services from a fixed base situated in that other Contracting State, and the debt-claim in respect of which the interest is paid is effectively connected with such permanent establishment or fixed base. In such case, the provisions of Article 7 or Article 14, as the case may be, shall apply.<\/p>\n\n\n\n<p>7.Interest shall be deemed to arise in a Contacting State when the payer is a resident of that State. Where, however, the person paying the interest, whether that person is a resident of a Contracting State or not, has in a Contracting State a permanent establishment or a fixed base in connection 3 withich the indebtedness on which the interest is paid was incurred, and such interest is borne by such permanent establishment or fixed base, then such interest shall be deemed to arise in the State in which the permanent establishment or a fixed base is situated.<\/p>\n\n\n\n<p>8.Where, by reason of a special relationship between the payer and the beneficial owner or between both of them and some other person, the amount of the interest, having regard to the debt-claim for which it is paid, exceeds the amount which would have been agreed upon by the payer and the beneficial owner in the absence of such relationship, the provisions of this Article shall apply only to the last-mentioned amount. In such a case, the excess part of the payments shall remain taxable according to the laws of each Contracting State, due regard being had to the other provisions of this Agreement.\u201d<\/p>\n\n\n\n<p>ARTICLE 5<\/p>\n\n\n\n<p>Article 13 of the Agreement shall be deleted and will be replaced by the following:<\/p>\n\n\n\n<p>\u201cArticle 13<\/p>\n\n\n\n<p>Capital Gains<\/p>\n\n\n\n<p>1.Gains derived by a resident of a Contracting State from the alienation of immovable property referred to in Article 6 and situated in the other Contracting State may be taxed in that other State.<\/p>\n\n\n\n<p>2. Gains from the alienation of movable property forming part of the business property of a permanent establishment which an enterprise of a Contracting State has in the other Contracting State or of movable property pertaining to a fixed base available to a resident of a Contracting State in the other Contracting State for the purpose of performing independent personal services, including such gains from the alienation of such a permanent establishment (alone or with the whole enterprise) or of such fixed base, may be taxed in that other State.<\/p>\n\n\n\n<p>3.Gains of an enterprise of a Contracting State from the alienation of ships or aircraft operated in international traffic or movable property pertaining to the operation of such ships or aircraft shall be taxable only in that State.<\/p>\n\n\n\n<p>4.Gains derived by a resident of a Contracting State from the alienation of shares deriving more than 50 per cent of their value directly or indirectly from immovable property situated in the other Contracting State may be taxed in that other State.<\/p>\n\n\n\n<p>5.Gains from the alienation of any property other than that referred to in paragraphs 1, 2, 3 and 4, shall be taxable only in the Contracting State of which the alienator is a resident.\u201d<\/p>\n\n\n\n<p>ARTICLE 6<\/p>\n\n\n\n<p>Article 26 of the Agreement shall be deleted and replaced by the following:<\/p>\n\n\n\n<p>\u201cArticle 26<\/p>\n\n\n\n<p>Exchange of Information<\/p>\n\n\n\n<p>1.The competent authorities of the Contracting States shall exchange such information as is foreseeably relevant for carrying out the provisions of this Agreement or to the administration or enforcement of the domestic laws concerning taxes of every kind and description imposed on behalf of the Contracting States, or of their political subdivisions or local authorities, insofar as the taxation thereunder is not contrary to the Agreement. The exchange of information is not restricted by Articles 1 and 2.<\/p>\n\n\n\n<p>2.Any information received under paragraph i by a Contracting State shall be treated as secret in the same manner as information obtained under the domestic laws of that State and shall be disclosed only to persons or authorities (including courts and administrative bodies) concerned with the assessment or collection of, the enforcement or prosecution in respect of, or the determination of appeals in relation to the taxes referred to in paragraph 1, or the oversight of the above. Such persons or authorities shall use the information only for such purposes. They may disclose the information in public court proceedings or in judicial decisions. Notwithstanding the foregoing, information received by a Contracting State may be used for other purposes when such information may be used for such other purposes under the laws of both States and the competent authority of the supplying State horses such use.<\/p>\n\n\n\n<p>3.In no case shall the provisions of paragraphs 1 and 2 be construed so as to impose on a Contracting State the obligation:<\/p>\n\n\n\n<p>a)to carry out administrative measures at variance with the laws and administrative practice of that or of the other Contracting State;<\/p>\n\n\n\n<p>b) to supply information which is not obtainable under the laws or in the normal course of the administration of that or of the other Contracting State;<\/p>\n\n\n\n<p>c) to supply information which would disclose any trade, business, industrial, commercial or professional secret or trade process, or information the disclosure of which would be contrary to public policy (ordre public).<\/p>\n\n\n\n<p>4.If information is requested by a Contracting State in accordance with this Article, the other Contracting State shall use its information gathering measures to obtain the requested information, even though that other State may not need such information for its own tax purposes. The obligation contained in the preceding sentence is subject to the limitations of paragraph 3 but in no case shall such limitations be construed to permit a Contracting State to decline to supply information solely because it has no domestic interest in such information.<\/p>\n\n\n\n<p>5.In no case shall the provisions of paragraph 3 be construed to permit a Contracting State to decline to supply information solely because the information is held by a bank, other financial institution, nominec or person acting in an agency or a fiduciary capacity or because it relates to ownership interests in a person.\u201d<\/p>\n\n\n\n<p>ARTICLE 7<\/p>\n\n\n\n<p>1. Each of the Contracting States shall notify to the other in writing, through the diplomatic channel, of the completion of the procedures required by its law for the bringing into force of this Protocol, which shall form an integral part of the Agreement. The Protocol shall enter into force on the date of the later of these notifications.<\/p>\n\n\n\n<p>2. The provisions of the Protocol shall thereupon have effect beginning on the date on which a system of taxation at shareholder level of dividends dechred enters into force in South Africa.<\/p>\n\n\n\n<p>ARTICLE 8<\/p>\n\n\n\n<p>This Protocol shall remain in force for as long as the Agreement remains in force. IN WITNESS WHEREOF the undersigned, duly authorised thereto by their Governments, have signed this Protocol.<\/p>\n\n\n\n<p>DONE at Kuwait City through the exchange of texts.
